CNERGENZ Posts RM76.58 Million in Revenue for 2Q FY2022

  • Sales of integrated solutions and standalone SMT machines and equipment remained steady

CNERGENZ Berhad, an established electronics manufacturing solutions provider based in Penang, announced today that the Company recorded revenue of RM76.58 million for the second quarter ended 30 June 2022 (2QFY2022) on higher sales of standalone surface mount technology (SMT) machines and provision of integrated solutions due to continued demand from manufacturing activities in the electronics and semiconductor industries (E&S Industries). On a cumulative basis, the Company recorded revenue of RM113.48 million and net profit (PAT) of RM12.94 million for the 6-month period ended 30 June 2022.

On a segmental basis, standalone SMT machines and equipment sales contributed 51.03% of the total revenue while provision of integrated solutions contributed 44.85% for the 2QFY2022.

Meanwhile, the Company’s profit before tax (PBT) for the 2QFY2022 had doubled to RM12.35 million as compared to the immediate preceding first quarter ended 31 March 2022 (1QFY2022) PBT of RM4.87 million. This resulted in the Company recording PAT of RM9.30 million for the 2QFY2022, which represents an increase compared to RM3.64 million recorded in the immediate preceding 1QFY2022.

Chief Executive Officer of Cnergenz, Mr. Lye Yhin Choy said, “We continue to see a steady inflow of orders in the recent quarter for our integrated solutions and standalone SMT machines and equipment in the Malaysian, Thai and Vietnamese markets where we operate despite the global headwinds that the technology sector is encountering, attributed to the gradual reopening of economies in these countries which have contributed to increased sales and new enquiries for our products and solutions. We believe that the inflow of orders will continue to grow following the recent global uptick in sales of semiconductors, particularly during the second quarter of 2022, coupled with the continued demand for our solutions and products amongst industry players within the E&S Industries.

On operational front, we have entered into a conditional sale and purchase agreement with the Penang Development Corporation for the acquisition of a parcel of industrial land in Penang. Upon completion of the acquisition, we intend to embark on the construction of our new facility by channelling our initial public offering proceeds, which will enable us to scale up our operations, develop and market a wider range of smart manufacturing solution offerings.

As of 30 June 2022, we have secured purchase orders totalling RM72.60 million, out of which RM61.16 million are expected to be fulfilled by the end of 2022 and RM11.44 million are expected to be fulfilled by the end of 2023.”

Alaska Mining Sells 51% Interest to Australian Nanotechnology Specialist

  • Company’s sole shareholder, Lee Hon Kit, to receive A$5.0 million in new Nanopac shares from sale

Alaska Mining Sdn Bhd is pleased to announce that its sole shareholder, Lee Hon Kit, is selling a 51% interest in the Company amounting to A$5.0 million (RM15.2 million) under a share sale agreement to Nanopac Alaska Sdn Bhd (NASB).

NASB is a unit of Nanopac Innovation Limited, which is listed on the Sydney-based National Stock Exchange of Australia. Nanopac principally engages in the research and development, manufacturing, distribution and servicing of nanotechnology materials and products. Nanopac’s other businesses include Nano-Solar panels and raw materials for paint industry. Mr. Lee is the sole shareholder of Alaska Mining, which is an earthworks and mining specialist as well as a trader of a variety of goods and logistics services provider.

Under the agreement, the sale of the 51% interest in Alaska Mining by Mr. Lee to NASB will be satisfied through the issuance of new shares in Nanopac to be paid in two tranches. The first tranche of new shares amounting to A$2.5 million (RM7.77 million) will be paid up front following the share sale agreement while the second tranche of new shares amounting to A$2.5 million (RM7.77 million) will be paid out after the Company has achieved A$5.0 million (RM15.2 million) in net profit. As part of the share sale agreement, Mr. Lee will be appointed the managing director of Alaska Mining.

Alaska Mining has been granted rights to mine sands to be processed into silica and ilmenite, from which a Chinese business group has agreed to an offtake agreement in relation to part of the ilmenite produced.

Mr. Lee expressed that he is looking forward to working with NASB and Nanopac to grow the mining business and at the same time ensure there is a steady flow of silica for Nano-Solar panel production and ilmenite for its paint products.

“This acquisition is advantageous to Nanopac as this secures a steady flow of raw materials for Nano-Solar and existing line of products, which it would otherwise have to source through third parties.”

“The mining operations will also give Nanopac a source of recurring income as the silica and ilmenite that it does not require will be sold to others while ensuring that the mining operations remain commercially sustainable, as the offtake agreement with the Chinese business group shows.”

Announcement of Intention to Delist American Depositary Shares from the New York Stock Exchange and Intention to Deregister and Terminate Reporting Obligations under the U.S. Securities Exchange Act

Aluminum Corporation of China Limited (Chalco or the Company)(NYSE: ACH; HKEx: 2600; SSE: 601600) today announced that it has notified the New York Stock Exchange (NYSE) on August 12, 2022 (U.S. Eastern Time) of its proposed application for voluntary delisting of its American depositary shares (the ADSs) from the NYSE and deregistration of such ADSs and the underlying overseas listed foreign shares (the H Shares, with a par value of RMB1 each) under the U.S. Securities Exchange Act of 1934, as amended (the Exchange Act). Due to a number of considerations, including the limited trading volume of the ADSs of the Company as compared to the worldwide trading volume of H Shares of the Company, and the considerable administrative burden and costs associated with maintaining the listing of the ADSs on the NYSE and the registration of the ADSs and the underlying H Shares with the U.S. Securities and Exchange Commission (the SEC) and complying with the periodic reporting and related obligations under the Exchange Act, the board of directors (the Board) of the Company approved the delisting of the ADSs from the NYSE and the deregistration of the ADSs and underlying H Shares under the Exchange Act.

As such, the Company intends to file a Form 25 with the SEC on or around August 22, 2022, to delist its ADSs from the NYSE. Such delisting is expected to become effective ten days after the filing of Form 25. The last trading day of ADSs on the NYSE will be on or about 1 September 2022. On and after such date, the ADSs of the Company will no longer be listed on the NYSE and whether or not the Company’s ADSs will be traded on the over-the-counter market thereafter will depend on the actions of shareholders and independent third parties, without the Company’s involvement.

After the delisting becomes effective, once the Company satisfies the conditions for deregistration, the Company intends to file a Form 15F with the SEC to deregister the ADSs and underlying H Shares under the Exchange Act. Thereafter, the reporting obligations for the Company under the Exchange Act will be suspended unless Form 15F is subsequently revoked or rejected. The deregistration and the termination of the reporting obligations of the Company under the Exchange Act are expected to become effective 90 days after the filing of Form 15F. Upon the filing of Form 15F, the Company will make available the information required by Rule 12g3-2(b) under the Exchange Act on its website at www.chalco.com.cn. The Company, as a listed issuer, will also continue to comply with its financial reporting and other obligations under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”).

The Company intends to terminate its ADSs program in an appropriate manner in accordance with the deposit agreement in due course after the delisting of the ADSs from the NYSE.

The Company reserves its right in all aspects to postpone or withdraw the above filings prior to their effectiveness; if necessary, the Company will make any further announcement as required by the Listing Rules and other applicable laws.

Society Pass Inc (Nasdaq: SOPA) recently announced the acquisition of Thoughtful Media Group (Thoughtful Media or TMG), a social commerce-focused, premium digital video MPN headquartered in Thailand with an operating presence in the US, Vietnam, and Philippines. The acquisition of Thoughtful Media marks SoPa’s first foray into Thailand and adds to SoPa’s growing ecosystem of technology-enabled companies located in the SEA countries of Vietnam, Philippines, Singapore and Thailand.

Along with this latest acquisition, Bien Kiat Tan has been appointed as the CEO of TMG, along with Jittra Cheng as TMG Thailand Country Director and Quynh Vo as TMG Vietnam General Manager. The three executives will drive Thoughtful Media forward in its next stage of growth.

TMG is a leader in digital and social commerce across Southeast Asia region. Thoughtful Media recorded revenues of US$5.8 million in 2021. Since its founding, Thoughtful Media’s data-rich MPN has uploaded over 675,000 videos with over 80 billion video views. The current network of 263 YouTube channels has onboarded over 85 million subscribers with an average monthly viewership of over 600 million views.

Aneka Jaringan and Samaiden Join Forces to Tap Solar PV Potential in Indonesia

Aneka Jaringan Holdings Berhad and Samaiden Group Berhad has entered into a joint venture (JV) agreement today, which will create new revenue streams for both companies via engineering, procurement, construction & commissioning (EPCC) of solar photovoltaic (PV) systems and power plants in Indonesia.

This JV provides Samaiden access to the Indonesian market and allows Aneka Jaringan which already has a presence in Indonesia via its subsidiary, PT Aneka Jaringan Indonesia, to add to its value chain in a fast-growing segment.

Indonesia’s renewable energy (RE) sector holds promising potential. As Southeast Asia’s largest economy and with an increasing energy demand due to its rapid development, it accounts for 40% of the energy consumption in this region. As committed to the Paris Agreement, Indonesia wants to achieve net-zero emissions by 2060 or sooner. It has pledged to reduce its national carbon dioxide emission by 29% within the next decade and committed to scaling up clean power and transitioning away from coal. In line with this, Indonesia targets to have 23% of the national energy source to be RE by 2025 from the current 12%.

The country’s Ministry of Investment has highlighted that Indonesia has 97 RE projects in the pipeline worth USD12 billion. With efforts underway by Indonesia to remove entry barriers for renewables, the prospects are attractive for the RE sector, in particular solar PV systems, a clean energy technology that can be deployed rapidly in the sunshine-rich country.

The JV puts both companies in a strategic position to capitalise on the opportunities presented by Indonesia’s commitment to RE. In addition to EPCC of solar PV, the JV will provide RE and environmental consulting services, operations and maintenance (O&M) services and built-own-operate-tranfer RE facilities.

A JV company with a proposed authorised capital of IDR10.1 billion (RM3.03 million/USD0.71 million) will be incorporated in Indonesia for this purpose. The incorporation of the new JV company is scheduled to be completed by the end of August 2022 in Jakarta.

Aneka Jaringan together with its subsidiary, PT Aneka and Samaiden will hold 45% and 50% stake respectively in the JV company. The remainder shall be subscribed by Aneka Jaringan’s business partner based in Indonesia.

Commenting on the JV, Aneka Jaringan’s Managing Director, Mr Pang Tse Fui said, “This JV is in line with our growth strategy of expanding our operations in Indonesia and increasing our revenue streams. Our new Jakarta office is nearing completion, ready to welcome a new JV company and this will enable them to hit the ground running to tap into Indonesia’s 400,000 megawatt (MW) solar power potential. We are pleased to partner with Samaiden via this JV company which is expected to strengthen Aneka Jaringan’s value chain and business resilience while contributing to Indonesia’s carbon neutrality goal.”

Ir. Chow Pui Hee, the Group Managing Director of Samaiden echoed these sentiments. “Indonesia presents great potential in an area of Samaiden’s expertise – RE, in particular solar PV systems.
