Effective today, ATPC will implement a 1-for-20 reverse stock split of its shares of common stock, as previously disclosed in filings with the Securities and Exchange Commission. This strategic action aims to increase the market price per share, thereby meeting NASDAQ’s continued listing standards and ensuring the Company’s position on a globally recognized exchange. Additionally, the number of authorised shares of common stock will be reduced from 1,000,000,000 to 50,000,000.

Central to ATPC’s sustainability strategy is a Memorandum of Agreement with Volt Industries Sdn. Bhd. (“VOLT”) in November 2023, marking a significant milestone in both parties’ collaborative efforts. While the acquisition of a 51% stake in VOLT is currently its’ final stages, this partnership is expected to play a crucial role in ATPC’s Sustainability Green Energy Initiative. This initiative includes the development and installation of 50 Electric Vehicle (EV) charging stations in Pahang, Malaysia, which is already in development progress.

Meanwhile, following a Memorandum of Agreement signed in November 2023 between ATPC and Oriental Industries Enterprise Sdn. Bhd. (“OIE”), a specialist in the EV bike industry, both companies established a Special Purpose Vehicle (SPV), with each holding an equal of 50% share, focusing on the distribution and marketing of EV bikes. Highlighting this partnership, the Ceremony featured an impressive showcase of EV bike display which will go to market in key cities, especially in the Klang Valley region, after inspection and obtaining clearance from SIRIM.

Further contributing to this wave of sustainable initiatives, VOLT has independently signed a Memorandum of Understanding (MOU) with KAB Smart Solar Energy Sdn. Bhd. (“KAB Smart Solar”). This agreement opens avenues for collaboration in Engineering, Procurement, Construction, and Commissioning services specifically for Solar Photovoltaic systems, highlighting the synergy between VOLT’s EV charging station expertise and KAB Smart Solar’s proficiency in the realm of solar energy.

Homegrown Nasdaq listed AGAPE ATP Corporation (ATPC or the Company; stock code: ATPC) intends to finance the construction of 50 electric vehicle (“EV”) charging stations by Volt Industries Sdn. Bhd. (Volt Industries) in Pahang as part of the Company’s strategy to develop and offer sustainable energy solutions.

ATPC recently signed a Memorandum of Agreement (MoA) with Volt Industries, in which the Company also intends to acquire a 51% stake in Volt Industries, a developer of EV charging stations based in Pahang. ATPC, which was recently listed on Nasdaq, specializes in sustainable global ‘wellness’ ecosystem and the development and production of advanced technology solutions for the energy sector.

The MoA was attended by founder and Chief Executive Officer (CEO) of ATPC Dato’ Sri Dr. How Kok Choong, CEO of Volt Industries Datuk Tan Say Jim, founder and CEO of Oriental Industries Enterprise Sdn. Bhd. Edward Ang Mou Lee and witnessed by Member of the Pahang State Executive Council, YB Dato’ Mohamad Nizar bin Dato’ Sri Mohamad Najib.

Dato’ Sri Dr. How Kok Choong, the founder of AGAPE ATP, said: “Our recent IPO on Nasdaq was just the beginning. This project will be funded privately, with no government subsidies.”

Under the MoA, ATPC will explore the project’s financial viability by securing primary funding as well as seeking additional capital from other avenues. Volt Industries will initiate the project’s groundwork, including acquiring all necessary permits and licenses as well as ensure full compliance with local regulations together with construction work.
